Company Formation & Corporate Services
Assess and coordinate company continuation into or out of a UAE jurisdiction where permitted, including legal, licensing, tax and ownership consequences.
For an international group, changing a company's jurisdiction can preserve corporate history and ownership while moving the legal domicile to a location better suited to management, investment or regional operations. Certain UAE free zones and financial free zones provide continuation or migration mechanisms, but availability and conditions depend on the specific authority and the company's existing jurisdiction.
That makes redomiciliation a jurisdiction-to-jurisdiction project rather than a generic UAE service. The departure law, destination rules, regulatory status, tax position, contracts and banking all need to support the same move.
Where permitted, statutory continuation can allow the same legal person to move jurisdiction rather than transferring every asset and contract into a newly incorporated company.
That continuity can be valuable for ownership history, financing and contractual relationships, but the legal effect must be confirmed under both the departing and receiving regimes.
Free-zone and financial-centre authorities maintain their own continuation rules and eligibility conditions. A route available in one UAE jurisdiction should not be assumed to exist on identical terms in another.
The intended activity and licence also need to be compatible with the destination authority before the migration is committed.
Changing domicile can affect tax residence, corporate tax, regulatory permissions and bank onboarding. A regulated company may require consent from its supervisory authority before any corporate migration.
Existing contracts and security documents should also be checked for jurisdiction-change or consent provisions.
We define the migration objective, map the existing company and destination, then coordinate legal, tax, licensing and regulatory analysis across both jurisdictions.
Where continuation is viable, corporate approvals, certificates and authority filings are sequenced around the move. The objective is genuine continuity with minimal disruption, not a jurisdiction change that leaves licences or banking behind.
Coutts Consultants coordinates UAE redomiciliation and continuation workstreams across the departure and destination jurisdictions, with specialist legal and tax advice integrated.
