Company Formation & Corporate Services
Register a foreign company branch in the UAE with initial approval, economic licensing, Ministry registration and continuing filing requirements coordinated.
For an established international company, opening a UAE branch can be more commercially natural than incorporating a new subsidiary. The branch allows the overseas company itself to establish a licensed presence, preserving the parent identity for contracts, branding and group governance while creating a formal operating base in the Emirates.
The trade-off is equally important: a branch is not a separate limited-liability subsidiary. The foreign parent stands behind the UAE operation, so liability, accounting, tax, contracting and regulatory consequences should be compared with an LLC before the structure is chosen.
The Ministry of Economy and Tourism confirms that the Commercial Companies Law does not require a foreign company opening a UAE branch to appoint a local national sponsor or agent. This removes one of the most persistent outdated assumptions about branch establishment.
The foreign parent can therefore retain direct ownership and control, subject to the activity, emirate licensing and regulatory requirements applicable to the branch.
The branch first works through the competent licensing authority for its activity and emirate and then completes the Ministry registration requirements. MoET's current service requires the foreign establishment to apply for registration within one month of the licence being issued.
The Ministry currently lists an AED 3,500 initial approval fee and AED 7,500 registration fee. Failure to register within the one-month period can attract a substantial administrative penalty, so the federal step should be built into the opening timetable rather than left after launch.
Certified parent registration evidence, the board decision to open the branch, representative authority and the economic licence form the core of the Ministry file. An approved UAE auditor is also relevant to the annual financial-statement framework, subject to the applicable branch type.
Attestation and corporate approvals should therefore be prepared before the UAE licensing process reaches its final stages. Cross-border documentation is often the part that determines how quickly the branch can actually open.
We first compare branch and subsidiary from the perspective of liability, contracts, ownership and activity. Where the branch fits, we coordinate parent approvals, attested documents, initial approval, economic licensing and Ministry registration.
Tax, VAT, accounting, payroll, immigration, audit and banking workstreams are then aligned with the branch operation. The objective is to use the foreign parent directly because it adds commercial value, not merely to avoid forming an LLC.
