Coutts Consultants

Terms of Business

The terms governing the provision of services by Coutts Consultants Ltd to its clients.

Last updated: August 2026

1. About these Terms

These Terms of Business govern the provision of services by Coutts Consultants Ltd ("Coutts", "we", "us" or "our") to any person, company or organisation engaging us ("Client", "you" or "your").

By instructing Coutts, accepting a quotation, proposal or order, making payment, or otherwise requesting that we commence work, you agree to these Terms of Business.

Any quotation, proposal, engagement communication, service description or other written agreement issued by Coutts forms part of the agreement between us. If a specific written agreement expressly conflicts with these Terms, the specific written agreement will prevail to the extent of that conflict.

2. Our Services

Coutts provides international business consultancy, corporate and administrative services and facilitates access to services including company formation, ready-made companies, corporate administration, registered offices, virtual offices, banking assistance, accounting and taxation support, legal and compliance services, licensing, intellectual property, immigration-related support, nominee and director services, mail forwarding and other international business services.

The precise scope of each engagement is determined by the quotation, order, service description or other written communication accepted by the Client.

Services may be performed directly by Coutts or, where appropriate, through or with third-party professional firms, corporate service providers, registered agents, banks, electronic money institutions, accountants, lawyers, tax advisers, government bodies, registries, couriers and other service providers.

3. My Concierge Accounts

My Concierge is a complimentary registered-user environment provided by Coutts as part of this website. It allows you to save services and jurisdictions, access Coutts Guides and Insights, record your interests and preferences, and keep track of enquiries you have submitted.

You must be at least 18 years old and provide accurate registration information. You are responsible for maintaining the confidentiality of your account credentials and for activity carried out through your account. Please notify us promptly if you believe your account has been accessed without your authority.

You may not share, sell or transfer your account, use it to access the website by automated means, attempt to access another member's account or information, or use it for any unlawful purpose.

Coutts Guides, Coutts Insights and other publications made available through My Concierge remain the intellectual property of Coutts or its licensors. They are provided for your own business use. You may not republish, redistribute or resell them.

My Concierge is provided on an "as available" basis. We may suspend or withdraw access for maintenance, and we may suspend or terminate an account that is used in breach of these Terms.

You may close your account at any time from within My Concierge. Certain records may be retained as described in the Privacy Policy.

IMPORTANT: creating or holding a My Concierge account does not of itself create an adviser or client relationship, does not constitute engagement of Coutts for any professional service, and does not give rise to any obligation on Coutts to provide advice. Professional services are provided only under a separate engagement agreed in writing, and these Terms of Business apply to that engagement.

4. Third-Party Services and Introductions

Certain services require an underlying product or service to be supplied by an independent third party. This includes banking relationships, payment and electronic-money facilities, lending and finance facilities, private banking and wealth-management relationships, insurance, and regulated fund or investment services.

Where this is the case, Coutts acts as consultant and, where appropriate, introducer. Coutts provides consultancy, application preparation, documentation support, provider identification, introductions and onboarding coordination. Coutts does not itself provide the underlying bank account, payment service, financing facility, insurance product or investment service.

In relation to any such introduction:

  • the third-party provider is a separate legal entity and is solely responsible for its own products, services and decisions;
  • acceptance is determined by that provider against its own eligibility, compliance and regulatory criteria, over which Coutts has no control;
  • an introduction does not guarantee acceptance, account opening, the grant of a facility, or any other outcome;
  • the provider's own terms and conditions will govern the product or service it supplies;
  • you may be required to complete separate identity, source-of-funds, anti-money-laundering and other compliance procedures directly with that provider; and
  • Coutts's professional fee is payable for the consultancy and support Coutts provides, and is separate from any fees, charges or sums payable to the third-party provider.

Where Coutts is entitled to receive a fee, commission or other remuneration from a third-party provider in connection with an introduction, this will be handled in accordance with applicable legal and contractual requirements and disclosed where required.

Regulatory authorisations, licences and permits are granted solely by the relevant competent authority. Where Coutts assists a Client in preparing or coordinating an application for authorisation, Coutts provides consultancy and project support only, and the decision remains that of the authority.

5. No Guarantee of Third-Party Acceptance

Where completion of a service depends upon a decision by a third party, Coutts cannot guarantee approval or acceptance.

This includes, without limitation:

  • company-name approval;
  • company registration;
  • bank-account opening;
  • EMI or payment-account opening;
  • merchant facilities;
  • licences and permits;
  • visas and immigration applications;
  • tax registrations;
  • regulatory approvals; and
  • decisions of government authorities.

A third party's refusal, delay or request for additional information does not of itself constitute a failure by Coutts to provide the services for which it was engaged.

6. Banking and Financial Institution Assistance

Where Coutts assists with an application to a bank, EMI, payment institution or other financial institution, our role may include preparing or reviewing information, administrative assistance, introductions, liaison and coordination.

The institution remains solely responsible for its onboarding, due-diligence and account-opening decisions.

Payment of a Coutts fee for banking assistance does not constitute payment for a guaranteed bank account.

Coutts cannot guarantee account approval, particular banking facilities, credit, payment processing, account-opening timescales or the continued availability of an account after opening.

7. Client Responsibilities

Clients must provide complete, accurate and current information and documentation reasonably requested by Coutts.

The Client is responsible for:

  • the accuracy of information supplied;
  • promptly notifying Coutts of material changes;
  • supplying identification and due-diligence documentation;
  • responding reasonably promptly to requests for information;
  • ensuring that proposed activities are lawful;
  • obtaining independent advice where appropriate; and
  • complying with applicable laws in jurisdictions relevant to the Client.

Coutts may rely upon information supplied by the Client unless we have reason to believe that information is incorrect.

8. Due Diligence and Compliance

Coutts may require identification, proof of address, source-of-funds information, source-of-wealth information, corporate documents, business information or other due-diligence material.

We may decline, pause or terminate an instruction where satisfactory information is not provided or where continuing the engagement would create legal, compliance, reputational or commercial concerns.

Coutts is not required to disclose confidential compliance criteria, internal risk assessments or information where disclosure is prohibited or inappropriate.

9. Fees

Fees will normally be stated in a quotation, order, invoice or relevant service page.

Unless expressly stated otherwise, all Coutts fees are exclusive of VAT and other applicable taxes. VAT will be added where required by applicable law.

Government charges, registry fees, professional fees, banking charges, courier costs, translations, notarisation, apostilles, legalisation and other third-party disbursements may be charged separately unless expressly included in the quotation.

10. Payment

Unless otherwise agreed in writing, payment is required in advance before work commences.

Payment may be accepted by bank transfer or through payment facilities made available on the Coutts website. Where a third-party payment processor is used, additional terms of that payment provider may apply.

Payment through the website constitutes acceptance of the applicable order or quotation and these Terms of Business.

Coutts may undertake fraud, security, identity and compliance checks before accepting or acting upon an order.

11. Chargebacks and Payment Disputes

A chargeback, reversal or payment dispute does not extinguish a properly incurred contractual liability.

Where a Client disputes a payment, the Client should first contact Coutts so that the matter can be investigated.

Coutts reserves the right to suspend ongoing services while genuinely disputed or overdue amounts remain unresolved.

12. Commencement of Work

Work may commence once Coutts has received:

  • the Client's instruction;
  • required payment;
  • satisfactory due-diligence documentation; and
  • information reasonably necessary to perform the service.

Commencement may include administration, research, document preparation, third-party liaison, compliance work, reservation of services or submission of applications.

13. Cancellation and Refunds

The Client may request cancellation by contacting Coutts.

Any refund entitlement will depend upon the stage reached when cancellation occurs. Fees relating to work already undertaken are ordinarily non-refundable.

Government fees, registry charges and amounts paid or committed to third-party providers are non-refundable to the extent that Coutts cannot recover them.

Where a service cannot reasonably be completed for reasons outside the Client's control, Coutts may, depending upon the circumstances, offer:

  • an alternative service;
  • account credit; or
  • a refund of an appropriate part of any unearned Coutts professional fee.

Nothing in these Terms excludes any mandatory statutory rights which cannot lawfully be excluded.

14. Timescales

Any processing or completion times stated by Coutts are estimates unless expressly guaranteed in writing.

Timescales may be affected by registries, banks, government departments, professional providers, compliance reviews, courier services and other matters outside our control.

Coutts is not liable solely because an estimated completion date is exceeded.

15. Third-Party Providers

Coutts may engage, introduce, coordinate with or procure services from third parties where reasonably required.

Third parties remain responsible for services they independently provide and may impose their own terms and conditions.

Coutts will exercise reasonable care in selecting providers but cannot guarantee the conduct, availability or decisions of independent organisations outside our control.

16. Professional Advice

Unless expressly agreed as part of a particular engagement, general information supplied by Coutts does not constitute personalised legal, tax, accounting, investment or financial advice.

International structures can have different consequences depending upon residence, domicile, ownership, management, business activity and other circumstances.

Clients should obtain appropriate professional advice where required.

17. Intellectual Property

Unless otherwise agreed, intellectual property owned by Coutts before an engagement remains the property of Coutts.

Coutts publications, Guides, Insights, website content, proprietary research, templates, designs, graphics and other materials may not be commercially reproduced or redistributed without permission.

Documents specifically prepared for a Client may be used by that Client for the purpose for which they were supplied, subject to third-party rights.

18. Confidentiality

Coutts will treat Client information as confidential subject to applicable law and legitimate operational requirements.

Information may be disclosed where reasonably required to provide the service, including to professional advisers, registered agents, financial institutions and other service providers.

Information may also be disclosed where required by law, court order or competent authority.

19. Data Protection

Personal information is handled in accordance with the Coutts Privacy Policy.

Clients authorise Coutts to process information reasonably necessary to administer an instruction and to provide relevant information to service providers where required for fulfilment.

20. Limitation of Liability

Nothing in these Terms excludes or limits liability where exclusion or limitation would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to those exclusions, Coutts will not be liable for indirect or consequential loss, loss of opportunity, loss of anticipated profit, loss caused by inaccurate information supplied by the Client, or decisions and failures of independent third parties outside Coutts's reasonable control.

To the fullest extent permitted by law, Coutts's aggregate liability arising from a particular service shall not exceed the total professional fees paid to Coutts for that service giving rise to the claim.

21. Force Majeure

Coutts will not be responsible for delay or failure caused by circumstances reasonably outside its control, including government action, registry disruption, banking-system disruption, telecommunications failure, cyber incidents, industrial action, natural disasters, war, civil disturbance or failure of essential third-party infrastructure.

22. Suspension and Termination

Coutts may suspend or terminate services where:

  • fees remain unpaid;
  • required information is not provided;
  • due-diligence requirements are not satisfied;
  • information supplied appears materially inaccurate or misleading;
  • the proposed activity creates legal or compliance concerns;
  • abusive or threatening behaviour occurs; or
  • continuing the engagement would otherwise be unlawful or unreasonable.

Termination does not affect rights or liabilities accrued before termination.

23. Communications

Coutts may communicate electronically, including by email and other agreed electronic channels.

Clients are responsible for keeping contact details current.

Electronic communications carry inherent security risks and Clients should notify Coutts promptly if they suspect unauthorised access to their communications.

24. Complaints

We aim to resolve concerns professionally and promptly.

Complaints should be submitted in accordance with the Coutts Complaints Procedure published on the website.

25. Entire Agreement

These Terms together with any applicable quotation, order, engagement communication and specifically incorporated documents constitute the agreement relating to the relevant instruction.

26. Severability

If any provision is held invalid or unenforceable, the remaining provisions continue in effect.

27. No Waiver

Failure to enforce a right immediately does not constitute waiver of that right.

28. Governing Law and Jurisdiction

These Terms and any contractual or non-contractual dispute arising from them are governed by the laws of England and Wales.

Subject to any mandatory consumer rights, the courts of England and Wales shall have exclusive jurisdiction.
