Company Formation & Corporate Services
Establish a Vanuatu international company under the 2026 consolidated legislation, with ownership, governance, provider and compliance requirements coordinated.
Vanuatu remains one of the Pacific's established international corporate jurisdictions, but its legal framework is not static. The VFSC published a consolidated 2026 edition of the International Companies Act, providing a current legislative foundation for international companies at a time when virtual-asset and financial-services regulation is also developing.
An international company can still provide a flexible vehicle for lawful business and investment outside Vanuatu. Its usefulness, however, depends on the owner's wider tax, banking and regulatory position rather than on the jurisdiction's historic offshore reputation.
VFSC guidance states that an international company cannot do business in Vanuatu except in furtherance of business elsewhere. That makes the form inherently suited to international rather than ordinary local operating activity.
The proposed business should therefore be tested against that limitation before incorporation. A client intending to trade locally in Vanuatu may require a different company and licensing analysis.
VFSC describes the international company as offering greater flexibility and simpler administration than the former exempted-company form. It uses a constitution and is not subject to the same annual-return filing requirement as ordinary companies.
Simpler corporate administration should not be confused with an absence of records or compliance. Ownership, directors, accounting information, KYC and the company's actual transactions still need to be managed appropriately.
Vanuatu's 2026 consolidated legislation now sits alongside a Virtual Assets Service Providers Act introduced in 2025 and established financial-dealer and fund legislation. An international company is not itself permission to conduct a regulated financial or virtual-asset business.
Banking and tax residence also remain separate questions. A structure relying on financial activity or international payment flows should be assessed for licensing and bankability before formation.
We begin with the owners, purpose, activity and expected transactions, confirm that the international-company form is appropriate and then coordinate local provider, KYC, constitutional and registration workstreams.
After formation we identify accounting, banking, tax and regulatory requirements. The objective is to use Vanuatu's current legal framework for a legitimate international purpose rather than rely on assumptions inherited from older offshore structures.
Coutts Consultants coordinates the Vanuatu international-company, ownership, governance and compliance workstreams around the client's genuine cross-border objective.
