Company Formation & Corporate Services
Restructure a US company or group through holding-company insertion, state conversion, share changes or ownership reorganisation with tax consequences coordinated.
US businesses often begin with the structure that was easiest on day one and discover later that investment, acquisitions, a new state footprint or international ownership require something different. A Wyoming LLC may need to become a Delaware corporation; founders may need a holding company; subsidiaries may need to be separated before financing or sale.
These are not simply Secretary of State filings. Entity conversions, share exchanges, asset transfers and holding-company insertions can change federal and state tax treatment, contracts, licences and investor rights, so the desired end-state should be designed before documents move.
A venture-financing conversion, group simplification and family ownership reorganisation have different objectives even if each involves changing the legal structure. The target ownership, tax classification and operating states should be mapped first.
That prevents a technically valid conversion from leaving the business with a new entity form but the same governance or tax problem.
Converting an LLC to a corporation, exchanging shares or transferring assets can have materially different tax consequences depending on the entity's existing classification, owners and transaction mechanics.
Specialist US tax advice should therefore precede execution. The state filing route is only one component of the reorganisation.
Financing documents, customer contracts, employment arrangements, intellectual property and licences can contain consent or assignment restrictions. State foreign qualifications and registered-agent records may also need updating.
For investor-backed companies, cap-table and equity-plan treatment should be coordinated carefully so that the reorganisation preserves the intended economics.
We map the existing entities, owners, tax classifications, states, contracts and desired end-state, then coordinate the corporate route with US legal and tax specialists.
State filings, ownership changes, federal registrations and operating updates are sequenced around completion. The objective is a cleaner structure that supports the next stage of the business rather than a filing exercise that creates new inconsistencies. Where the objective is future venture investment or a sale, the reorganisation should also consider whether the resulting state, entity type and capital structure are familiar to the expected investors or acquirers. A technically elegant structure is of limited value if it creates friction in the transaction it was meant to facilitate.
Coutts Consultants coordinates US corporate restructuring, holding-company and state-conversion workstreams around the client's desired end-state, with specialist legal and tax advice integrated before execution.
