Company Formation & Corporate Services
Formation of a Slovenian d.o.o. using the appropriate SPOT or notarial route, with capital, ownership and governance structured for the intended activity.
A Slovenian d.o.o. is a conventional EU limited liability company that can be owned by domestic or foreign individuals or legal entities. It is well suited to businesses with a real Slovenian or regional operating purpose, but international founders need to choose the correct formation route: Slovenia’s simple SPOT procedure is deliberately standardised, while more tailored structures may require notarial involvement.
Slovenia’s official SPOT portal confirms that a d.o.o. requires at least €7,500 of nominal capital, with each basic capital contribution being at least €50. The company acquires legal personality when it is entered in the court register.
For a straightforward cash-funded formation, the incorporation process includes establishing the constitutional documentation, opening a temporary account, paying the required capital and providing evidence of payment for the registration process. Capital is then available to the company for its business operations after establishment.
SPOT offers streamlined procedures for qualifying simple companies. Those procedures rely on standard-form arrangements and prescribed conditions. Where the owners need bespoke governance, non-cash contributions or arrangements that do not fit the standard process, a notarial route may be required.
This distinction matters for international groups. A company with several shareholders, investor protections, special transfer provisions or more complex capital arrangements should not force itself into a simplified template merely because that route appears quicker.
SPOT expressly states that one or more domestic or foreign natural or legal persons may own a d.o.o. Ownership of the company should nevertheless be kept separate from the right of an individual to live or work in Slovenia. A foreign shareholder who intends to work for or manage the business may have separate immigration or employment requirements depending on nationality and circumstances.
We begin with the shareholders, directors, intended activities, capital and governance requirements. From that we determine whether a standard SPOT formation is suitable or whether the structure requires a notary or other Slovenian professional. We then coordinate the documentation, KYC, registered business address and registration workstream.
After incorporation, tax, VAT, accounting, employment and sector permissions are addressed according to the business model. Banking or payment introductions can be coordinated where required, but the independent institution retains responsibility for its own onboarding decision.
The aim is a Slovenian company whose constitutional structure and operating arrangements have been chosen for the business—not merely for the easiest registration route.
Coutts Consultants coordinates the corporate, professional and implementation workstreams around the client’s actual commercial objective, with material legal, tax and regulatory matters referred to appropriately qualified advisers where required.
