Review Singapore company control and management, tax residence and Certificate of Residence readiness for treaty and cross-border purposes.
A Singapore incorporation certificate does not by itself make a company Singapore tax resident. IRAS determines residence by where control and management is exercised, which means the location and substance of strategic decision-making can matter to treaty access and other international tax outcomes.
For an overseas-owned company, this is particularly important where the Singapore entity receives dividends, interest, royalties or service income from other countries and expects to rely on Singapore's treaty network.
IRAS states that a company is tax resident in Singapore when control and management is exercised in Singapore. The place of incorporation is not necessarily the place of tax residence.
Board meetings can be relevant evidence, but the analysis concerns where strategic decisions are actually made rather than simply where minutes say a meeting occurred.
IRAS expressly notes that a company's residence status may change from one year of assessment to another. Governance should therefore be maintained as an ongoing operating fact rather than established only when a certificate is requested.
Changes in directors, group decision-making or business activity can alter the evidence supporting the position.
A Singapore tax resident company can apply to IRAS for a Certificate of Residence, commonly to support claims for benefits under an applicable double tax agreement or other specified purposes.
The company should ensure its governance and factual record can support the application before treaty relief is built into transaction economics.
Coutts Consultants reviews directors, board processes, delegations, senior management and cross-border income, then coordinates the residence/COR workstream with qualified Singapore tax advisers.
Where weaknesses exist, governance improvements are implemented prospectively. The objective is a residence position supported by real decision-making rather than documentation created solely for a certificate application. Where directors participate from several countries, the review should also consider how meetings are convened, where substantive debate occurs and who has authority between meetings, rather than reducing residence to the physical location of a formal board signature.
Coutts Consultants coordinates Singapore tax-residence and Certificate of Residence readiness around actual control and management, with technical tax conclusions confirmed by qualified advisers.
