Company Formation & Corporate Services
Establish a Samoa international company through a licensed trustee company, with ownership, governance and modern tax and compliance requirements coordinated.
Samoa's international company regime has a long history, but its modern proposition is changing. The International Companies Act continues to provide a flexible vehicle for lawful international business and investment, while Samoa's 2026 legislation expressly removes historic tax-exemption treatment for international companies.
That change makes current advice particularly important. A Samoa company should now be selected for its corporate, succession or transaction characteristics and professional administration — not because an old formation brochure describes an automatic tax exemption that no longer reflects the direction of the law.
SIFA confirms that all international companies must be registered and incorporated through a licensed trustee company. The registered office is maintained at the principal office of that trustee company, embedding professional administration into the structure.
The provider relationship therefore begins before incorporation. Ownership, source of funds, directors, purpose and expected transactions should be prepared to the standard required for trustee-company onboarding.
The International Companies Act recognises companies limited by shares, guarantee, or both, as well as limited-life international companies. This allows the legal form to be selected around the intended ownership and transaction rather than forcing every client into one model.
For a conventional international company limited by shares, the memorandum, articles, directors and governance should still be designed around how the company will actually be used.
SIFA's current legislation library includes the Miscellaneous (Removal of Tax Exemption for International Companies) Amendment Act 2026. Historic descriptions of Samoa international companies as automatically tax-exempt should therefore not be relied upon for new structuring decisions.
Tax residence, home-country reporting, banking, accounting and any regulated activity require current professional analysis. The company remains potentially useful, but the rationale must now stand on more than an old tax label.
We begin with the commercial or investment purpose, owners and transaction profile, then coordinate the licensed trustee company, KYC, constitutional and registration workstreams.
After formation we identify current tax, accounting, banking and regulatory requirements. The objective is to use Samoa's established corporate framework on a fully contemporary basis rather than preserving assumptions from an earlier offshore era.
Coutts Consultants coordinates the Samoa licensed-trustee, ownership, governance and current compliance workstreams around the client's genuine international purpose.
