Company Formation & Corporate Services
Establish a Norwegian AS with NOK 30,000 share capital, Norwegian business address, board, registration and operating requirements coordinated.
A Norwegian aksjeselskap (AS) offers something many founders value: a highly credible Scandinavian corporate form with a clear legal framework and limited shareholder liability. It is the natural choice for a wide range of Norwegian trading businesses and subsidiaries and is well understood by employees, banks, suppliers and counterparties.
Norway's formation process is transparent, but it is not designed around token capital. An AS requires at least NOK 30,000 in share capital, and Altinn itself cautions that the actual cost of establishing a business will often exceed that amount. The distinction between statutory capital and realistic funding is therefore built into the official guidance.
The share capital is deposited and confirmed through the prescribed process before registration. It gives the company an initial equity base and limits the shareholders' ordinary exposure to the amount invested, but it should not be treated as the entire financial plan.
A company hiring staff, acquiring equipment, taking premises or waiting for customers to pay may require substantially more liquidity. The board also has a continuing responsibility to ensure that the company maintains adequate equity, making capital adequacy an ongoing governance issue rather than a one-day incorporation test.
The AS needs a Norwegian physical business address; a postbox is not sufficient. Foreign founders, board members or other participants without Norwegian identification may also require D-number arrangements, and those identification steps can become the critical path if left until late in the process.
The memorandum, articles, board composition and signing authorities should reflect how the Norwegian company will actually be controlled. For an overseas group, this is also the moment to establish how the local board interacts with the parent and who is authorised to bind the subsidiary.
Once registered, the AS moves directly into Norway's accounting, tax and reporting environment. VAT, employer and payroll registrations, sector licences and banking follow according to the activity. The administrative framework is highly developed, but it expects the company to be run properly.
Coutts Consultants coordinates the capital, ownership, board, identification and registration workstreams and then connects them to the tax, VAT, payroll, accounting and banking requirements of the operation. The aim is a Norwegian company with the governance and financial footing to trade confidently, not merely an organisation number.
Coutts Consultants coordinates the Norwegian AS capital, board, identification and registration workstreams around the intended operation, with Norwegian specialist matters referred appropriately.
