Company Formation & Corporate Services
Establish a Dutch BV with notarial incorporation, €0.01 starting capital, ownership, UBO and KVK registration requirements coordinated around the business.
The Dutch BV is one of Europe's most versatile private companies. It works equally well as the operating subsidiary of an international group, a founder-led trading company, a joint-venture vehicle or a structure designed to accommodate future investment. Its popularity is not difficult to understand: Dutch corporate law combines a familiar legal environment with unusually flexible share and governance arrangements.
The famous €0.01 starting-capital requirement makes the BV exceptionally accessible, but it is largely a legal technicality rather than a sensible funding strategy. A company expected to employ staff, sign a lease, acquire assets or establish banking credibility should be capitalised for the business it intends to become, not for the minimum needed to exist.
A BV can accommodate different classes of shares and bespoke economic or voting rights, allowing founders, investors and group companies to hold interests that reflect their actual commercial bargain. That makes the structure particularly useful where ownership may evolve or where control and economics do not need to move in lockstep.
Flexibility also creates responsibility. Share rights, transfer restrictions, board powers and reserved matters should be considered before the deed is executed. A generic set of articles may be perfectly adequate for a simple wholly owned subsidiary, but it can be a poor foundation for a joint venture or investment-backed business.
Incorporation is effected by a Dutch civil-law notary, who prepares and executes the deed and articles and arranges registration of the BV and its directors with the KVK Business Register. Share transfers also involve a civil-law notary, reinforcing the importance of getting the ownership architecture right at the beginning.
UBO registration, corporate records and annual financial statements form part of the continuing framework. For an international group, management, intercompany agreements, transfer pricing and the Dutch company's relationship with its parent should also be documented before transactions become routine.
The Netherlands offers more than an efficient company registry. It has a sophisticated professional-services market, excellent connectivity and a corporate form understood by investors, banks and counterparties across Europe. A BV can therefore be particularly effective where the company will have a genuine Dutch or European commercial role.
Coutts Consultants starts with that role. We establish the ownership, governance, funding and operating model, coordinate the notarial, KYC, UBO and KVK workstreams, and then connect the company to the tax, VAT, payroll, accounting, licensing and banking requirements needed for operation. The result should feel like a Dutch business platform, not a €0.01 incorporation.
Coutts Consultants coordinates the Dutch BV notarial, ownership, UBO and implementation workstreams around the client's actual business and governance requirements.
