Company Formation & Corporate Services
Establish a Moroccan SARL with freely set capital, ownership, management, OMPIC registration and operating requirements coordinated around the business.
Morocco has developed into one of North Africa's most compelling operating locations, combining proximity to Europe with major port and logistics infrastructure, an established manufacturing base and growing technology and services sectors. For a privately owned business or international subsidiary, the Société à Responsabilité Limitée (SARL) offers a familiar and flexible corporate form.
The attraction is strengthened by a modern capital regime. OMPIC confirms that the shareholders are free to set the SARL's capital, allowing the company to be financed around the commercial project rather than an arbitrary statutory minimum.
OMPIC's current guidance states that SARL capital is freely determined by the shareholders. It also confirms that the bank-blocking formality is removed where capital does not exceed MAD 100,000, while different payment rules apply above that level.
That flexibility is useful for both smaller businesses and international subsidiaries, but it should be exercised sensibly. The amount chosen should support the company's contracts, staff, premises and working-capital needs rather than simply minimise the formation figure.
OMPIC confirms that a single shareholder can establish the company and that the SARL can have up to 50 shareholders. This makes it adaptable to a wholly owned foreign subsidiary, founder business or more closely held joint venture.
The articles should reflect the ownership and management relationship, particularly where an overseas parent needs clear authority, reserved matters or controls over local management.
For manufacturing, automotive, aerospace, logistics, technology, tourism and services, Morocco can provide a bridge between European, African and wider international markets. A local SARL can create the contracting, staffing and banking platform needed to participate directly in that economy.
Tax, VAT, payroll, social-security, customs, foreign-exchange and sector permissions should then be coordinated around the business. For exporters and industrial projects, incentives or zone-specific arrangements may also merit separate analysis.
We begin with shareholders, activity, management, capital and location, then coordinate KYC, constitutional documentation and the OMPIC/company-registration process.
After establishment we identify tax, VAT, payroll, customs, foreign-exchange, licensing and banking workstreams. The objective is to use Morocco's flexible SARL as a serious operating platform connecting the client's business to the markets it wants to serve.
Coutts Consultants coordinates the Moroccan SARL capital, ownership, OMPIC and implementation workstreams around the client's North African operating strategy.
