Company Formation & Corporate Services
Establish a Monaco SARL with €15,000 minimum capital, business-authorisation, banking, management and RCI registration requirements coordinated.
A Monaco company is rarely chosen because it is the easiest way to incorporate a business. That is part of its appeal. The Principality offers an exceptional international profile, a concentrated private-wealth and professional-services ecosystem and access to a highly distinctive commercial environment, but it expects businesses established there to have a credible reason for being in Monaco.
For an entrepreneur or international group with the right activity, a Société à Responsabilité Limitée (SARL) can provide a prestigious and practical operating vehicle. The formation process is more demanding than in many jurisdictions because capital, banking, commercial authorisation, management and premises are interconnected. The result should be a real Monegasque business, not merely a company with a Monaco address.
The current Commercial Code sets minimum capital of €15,000 for the conventional SARL. Cash capital is paid into an account opened for the purpose with a credit institution established in Monaco, making the banking relationship part of the formation sequence rather than an afterthought. Monaco's 2025 company-law reforms also modernised the wider framework, including the treatment of single-member limited-liability companies.
The capital figure itself is only one component. Before formation, the proposed activity, ownership, managers and premises need to support the commercial authorisation being sought. A beautifully drafted company that cannot obtain the permissions required for its business has little value.
Monaco can be particularly compelling for businesses serving an international private-client, luxury, professional, maritime or specialist commercial market where the Principality's location and ecosystem add genuine value. Its small size and high standards can create proximity to clients and professional networks that is difficult to replicate elsewhere.
It is less persuasive for a remote business whose management, customers and operations will remain entirely outside Monaco. In that situation, the additional authorisation, premises and implementation requirements may add cost without adding commercial substance. Jurisdiction selection should therefore be based on what Monaco contributes to the business, not on the name alone.
Once the structure is justified, the project becomes one of coordination: shareholders and management, capital and banking, the economic-activity authorisation, constitutional documents, premises and registration with the Répertoire du Commerce et de l'Industrie all need to progress in the correct order. Regulated financial activities sit outside an ordinary SARL formation and require their own authorisation.
Coutts Consultants coordinates those moving parts with Monaco professionals and then addresses the accounting, employment, tax, licensing and continuing banking requirements that follow. The objective is not simply to obtain a Monaco registration, but to establish a business capable of operating credibly within one of Europe's most distinctive commercial environments.
Coutts Consultants coordinates the Monaco SARL activity-authorisation, €15,000 capital, banking and registration workstreams around the intended business, with Monegasque legal and regulated matters handled locally.
