Company Formation & Corporate Services
Establish a Maltese private limited company with share capital, registered office, ownership, MBR registration and operating requirements coordinated.
A Maltese private limited liability company can provide an EU corporate platform for trading, holding, investment and international operations with a genuine Maltese rationale. Malta's company law is familiar and flexible, but formation should not be reduced to a tax-rate proposition.
Ownership, management, capital, registered office, beneficial ownership, tax residence and any regulated activity need to support the same commercial structure. The Companies Act also permits a qualifying single-member private company, but the memorandum must address the applicable single-member requirements. Ownership should therefore be selected for commercial reasons rather than simply to minimise the number of subscribers.
Malta's private-company regime requires minimum authorised share capital equivalent to approximately €1,164.69, with at least 20% of the nominal value of each cash share paid on subscription.
The statutory minimum is modest; the actual funding should follow the business plan and the resources needed for the company's intended operations.
The memorandum and articles establish the shareholders, directors, company secretary, capital and registered office and are filed with the MBR together with the required incorporation information.
International ownership structures should prepare KYC, beneficial-owner and corporate documents before filing so that Registry, provider and banking records remain consistent. Directors and the company secretary form part of the continuing governance framework. For an internationally managed company, their roles should be consistent with where strategic decisions will genuinely be taken.
A Maltese incorporation does not by itself settle the tax position of the company or its shareholders. Management, activity, source of income and applicable cross-border rules require separate professional analysis.
Financial services, gaming, virtual-asset and other regulated activities also require the relevant authorisation and should be assessed before the company is formed for that purpose. Malta's imputation and shareholder-refund tax system is frequently marketed internationally, but its application is fact-sensitive and should never be presented as an automatic effective tax rate arising merely from incorporation.
We begin with ownership, activity, management, capital and the intended Malta footprint before coordinating KYC, constitutional documents and MBR registration.
After formation we identify tax, VAT, accounting, payroll, licensing, substance and banking workstreams, using qualified Maltese professionals where required. We therefore separate company formation from tax structuring and obtain appropriate Maltese and shareholder-jurisdiction advice before any tax outcome is assumed.
Coutts Consultants coordinates the Maltese corporate, capital, ownership and MBR workstreams around the intended business, with tax and regulated matters handled by appropriately qualified Maltese advisers.
Confirmed after initial review of ownership, capital, management and operating requirements
