Company Formation & Corporate Services
Establish a Liechtenstein GmbH with CHF 10,000 capital, governance, Commercial Register and operating requirements coordinated around the intended business.
Liechtenstein's Gesellschaft mit beschränkter Haftung (GmbH) can provide a compact limited-liability vehicle for an operating business, investment activity or internationally owned subsidiary with a genuine reason to use the Principality.
The jurisdiction combines close integration with the Swiss economic area and EEA membership, but company formation should still be coordinated with capital, management, trade permissions, tax and banking rather than treated as an isolated registry exercise. The current regime also permits the minimum capital to be denominated in CHF, EUR or USD, and it must be fully paid or contributed at formation. This flexibility can be useful for internationally owned businesses whose commercial accounts are naturally maintained in one of those currencies.
A Liechtenstein GmbH requires minimum share capital of CHF 10,000. The ownership and capital contributions should be settled before registration and should reflect the resources the company will need for its intended activity.
The legal minimum is therefore a formation threshold, not a substitute for a working-capital plan.
The constitutional documents establish the shareholders and management and the company is entered in the Commercial Register. Depending on the owners and managers, local representation and professional support may be required.
The actual activity can also determine whether a trade licence, professional qualification or separate regulatory permission is necessary. Liechtenstein also provides a simplified formation procedure for a GmbH with no more than three shareholders and a single managing director, in which public notarisation can be dispensed with. Whether that route is appropriate depends on the proposed ownership and governance.
After formation the company must establish accounting and tax compliance and address VAT, payroll or employment matters where applicable.
International owners should also consider where strategic management occurs, how the company will be funded and whether its banking profile supports the proposed transactions. The company's purpose must indicate whether it carries on a commercially conducted business, which can affect the registration and compliance framework. Holding or asset-management activity should therefore not automatically be described as an operating trade.
We begin with ownership, activity, management, capital and the intended Liechtenstein footprint before coordinating KYC, constitutional documentation and Commercial Register formation.
After registration we identify trade, tax, VAT, accounting, payroll and banking workstreams, using qualified Liechtenstein professionals where local execution is required. We also consider whether the GmbH is preferable to Liechtenstein-specific forms such as an Anstalt or Stiftung where the client's objective is investment or asset structuring rather than an ordinary operating company.
Coutts Consultants coordinates the Liechtenstein GmbH capital, governance, registration and implementation workstreams around the intended activity, with local legal, tax and licensing matters handled by qualified professionals.
