Company Formation & Corporate Services
Establish a French SAS with flexible governance, capital, beneficial-owner and registration requirements coordinated around the shareholders' commercial arrangements.
A French société par actions simplifiée (SAS) is one of France's most flexible corporate forms and is widely used for subsidiaries, joint ventures, growth companies and owner-managed businesses. Its attraction is contractual flexibility rather than minimal compliance.
That flexibility makes drafting more important, not less: the articles determine much of the governance architecture and should reflect the shareholders' actual commercial relationship.
An SAS may be formed by one or more shareholders; the single-shareholder form is an SASU. French official guidance permits share capital from €1 and requires the company to have a president.
Decision rights, share transfers, reserved matters and investor protections should be settled before registration rather than left to generic constitutional wording.
At least half of cash contributions must be paid at formation, with the balance payable within five years. Contributions in kind can trigger valuation formalities depending on the circumstances.
The legal minimum should not drive commercial funding. Capital and shareholder financing should reflect expected costs, contracts and growth plans.
Formation includes articles, capital deposit, publication formalities, beneficial-owner information and registration through France's business formalities system.
Where the SAS employs staff, invoices customers, imports goods or conducts regulated activity, payroll, VAT, social-security, customs and licensing workstreams may also be required.
We begin with shareholders, activity, governance, funding and the French operating footprint before coordinating articles, KYC, capital and registration with French providers.
After registration we identify accounting, tax, VAT, payroll, licensing and banking requirements, with particular attention to ensuring governance reflects the commercial deal.
Coutts Consultants coordinates the French SAS governance, capital and formation workstreams around the shareholders' commercial arrangements, with the constitutional flexibility of the SAS used deliberately rather than relying on generic articles.
Confirmed after initial review of ownership, governance, capital and operating requirements
