Estonia Public Limited Company (AS) Formation

Estonia

Establish an Estonian public limited company with €25,000 minimum capital, supervisory board, audit and Commercial Register requirements coordinated.

Estonia is rightly associated with digital entrepreneurship, but its public limited company — the aktsiaselts (AS) — is a substantially more formal vehicle than the familiar OÜ. It is designed for businesses that need a larger capital base, a more developed governance structure or the ability to operate with a public-company architecture.

For most small or closely held businesses, the OÜ remains simpler. The AS becomes interesting when the scale, investor base or governance requirements justify the additional capital, supervisory board and audit obligations.

The AS has €25,000 minimum share capital

Estonia's current Commercial Code sets minimum share capital of €25,000 for an AS. The capital is divided into shares and the company is structured for a more formal shareholder environment than an OÜ.

That higher threshold is part of the proposition rather than an inconvenience: the AS is intended for businesses where a stronger capital and governance framework is commercially appropriate.

A two-tier governance structure distinguishes the AS

The AS has a management board responsible for executive management and a supervisory board that plans the company's activities, organises management and supervises the management board. The supervisory board has at least three members unless the articles prescribe a larger number.

This makes the form useful where investors or shareholders want structured oversight, but it also creates a governance burden that may be unnecessary for a simple owner-managed business.

Audit and reporting are built into the public-company framework

An AS is subject to mandatory audit requirements and the ordinary Estonian accounting and annual-reporting framework. The company also needs to maintain shareholder and beneficial-owner information and comply with Commercial Register requirements.

Tax, VAT, payroll, employment, licensing and banking then follow the actual operation. Estonia's digital administration makes those interactions efficient, but does not reduce the substantive obligations of a public company.

How Coutts Consultants approaches an Estonian AS

We begin by establishing why the business needs an AS rather than an OÜ, then coordinate shareholders, capital, management board, supervisory board, KYC and Commercial Register formation.

After registration we identify audit, accounting, tax, VAT, payroll, licensing and banking requirements. The objective is to use Estonia's public-company structure where the scale and governance justify it, rather than selecting it simply for prestige. The jurisdiction should therefore be selected for the commercial advantages it contributes to the operating model, not simply for ease of registration.
