Business Advisory & International Expansion
Structure a Dubai regional headquarters with jurisdiction, governance, people, intercompany services, tax and operating substance coordinated around the group.
Dubai has become a natural regional headquarters location for groups managing business across the Middle East, Africa and South Asia. Connectivity, executive talent, professional services and the ability to combine commercial and holding functions can make a UAE base operationally useful rather than merely tax-efficient.
A headquarters, however, should behave like one. If the Dubai entity is described as directing regional strategy, employing senior management and charging subsidiaries for services, its people, governance, contracts and transfer-pricing position should support that description.
A mainland company, conventional free zone or DIFC entity can each support different headquarters models. Customer interaction, regulated activity, office requirements and the senior team's working location should determine which platform is most suitable.
The legal form is therefore downstream of the operating design. Selecting a licence first and inventing the headquarters role afterwards reverses the sequence.
Regional leadership, finance, legal, strategy or commercial teams can give the Dubai entity a genuine management role. Board processes and delegated authorities should show which decisions are actually made in the UAE.
That matters to banks, counterparties and tax authorities as well as internal governance. A headquarters that exists only through intercompany invoices is harder to defend commercially.
Management fees, shared services, financing and intellectual-property arrangements can create transfer-pricing and corporate-tax consequences. The services, benefit to subsidiaries and pricing methodology should be documented before recurring charges begin.
Employment, visas, office space, VAT and accounting should also align with the functions the entity claims to perform.
We map the regional group, functions, senior people, decision-making, intercompany services and customer interaction, then compare suitable Dubai jurisdictions and design the operating entity.
Formation, premises, employment, governance, tax and transfer-pricing workstreams are coordinated around that model. The objective is a headquarters with genuine regional purpose and substance, not simply a UAE company labelled 'HQ'. A well-designed headquarters can also centralise procurement, treasury oversight, intellectual-property management or strategic services where those functions genuinely sit in Dubai. Each additional function should be matched by the people, authority and documentation needed to demonstrate that it is actually performed there.
Coutts Consultants coordinates Dubai regional-headquarters jurisdiction, governance, people and implementation around the functions the group genuinely intends to locate in the UAE.
