Company Formation & Corporate Services
Formation of a Belgian SRL/BV with financial planning, notarial incorporation, ownership, registration and post-incorporation requirements coordinated.
A Belgian société à responsabilité limitée / besloten vennootschap (SRL/BV) is the principal private limited-liability form for many Belgian operating businesses and subsidiaries. It is deliberately more flexible than the former SPRL/BVBA regime, but that flexibility does not mean a company can be formed without credible financing.
For an international founder, the central question is whether the Belgian company has sufficient resources, governance and operating substance for the business it is expected to conduct.
Belgium's official business portal describes the SRL/BV as having no statutory minimum capital and instead requiring sufficient start-up capital. This is not a nominal-capital shortcut: the founders must prepare a financial plan showing that the company has adequate resources for its proposed activity.
The financial plan covers the opening position and projected activity for at least the first two years and is filed with the notary. The amount committed should therefore follow the business model, working-capital needs and financing plan rather than a token figure.
The SRL/BV has legal personality and is incorporated through a notarial deed. The articles establish ownership, governance and the rights attached to the shares, while the company is registered through Belgium's business-registration framework.
Where the shareholder is an overseas company, parent approvals, ownership evidence and beneficial-owner information should be prepared alongside the Belgian incorporation file so that the notarial, banking and compliance records remain consistent.
Incorporation does not settle every requirement. The enterprise needs the appropriate registration in the Crossroads Bank for Enterprises, VAT registration where applicable, accounting arrangements and any professional or sector permissions attached to its activities.
For a foreign-owned business, payroll, employment, establishment, transfer-pricing and tax-residence questions may also need to be addressed before trading begins.
We begin with the shareholders, intended activities, financing and management structure. We then coordinate the financial-plan, KYC, notarial and registration workstreams with Belgian professional providers.
After incorporation we identify the VAT, accounting, payroll, licensing and banking steps required for the actual business. The objective is a properly financed Belgian operating company, not merely a low-capital registration.
Coutts Consultants coordinates the Belgian financial-planning, notarial, corporate and implementation workstreams around the intended business, with legal and tax matters handled by appropriately qualified Belgian advisers.
Confirmed after initial review of ownership, financing, notarial and operating requirements
