Austria Gesellschaft mit beschränkter Haftung (GmbH) Formation

Austria

Formation of an Austrian GmbH with share capital, governance, Firmenbuch registration and trade-licence and post-incorporation requirements coordinated for the intended business.

An Austrian Gesellschaft mit beschränkter Haftung (GmbH) is the country's established private limited-liability company and can provide an effective structure for an operating subsidiary, owner-managed business, investment activity or wider European presence. It is a formal corporate vehicle: capital, constitutional documents, management and registration in the Firmenbuch all form part of the establishment process.

For an international founder, incorporation should also be considered alongside the intended Austrian activity, trade licensing, tax, accounting, payroll and banking requirements. A registered GmbH and a business authorised to trade are not always the same thing.

The current €10,000 capital regime changes the formation economics

Austria's Unternehmensserviceportal confirms that a GmbH must have minimum share capital of €10,000 and that, as a general rule, half is paid in cash on formation. This is important because older material still refers to the previous €35,000 capital regime or historic formation privileges.

The GmbH has its own legal personality and comes into existence upon registration in the Firmenbuch. The ownership, capital contributions and management arrangements should therefore be settled before the formation documentation is completed, particularly where an overseas parent company is subscribing for the shares.

Corporate management and trade-law management are different questions

The managing director is the executive and representative organ of the GmbH and must be registered. Austria's trade-law framework creates an additional issue for businesses carrying on a Gewerbe: legal entities must appoint a gewerberechtlicher Geschäftsführer who is responsible for compliance with the trade regulations and who must satisfy the applicable personal requirements.

For regulated trades, that person may also need to demonstrate the prescribed professional competence. This distinction can materially affect who needs to be available in Austria and when the company can commence its intended activity, so it should be addressed before the corporate documents are treated as the end of the project.

The business licence and operating footprint matter from day one

Many Austrian commercial activities require a trade authorisation through the Gewerbe framework. Tax, VAT, accounting, payroll and employment requirements can also arise from the start of operations. For a foreign-owned company, funding, parent-company approvals, transfer pricing and the place from which strategic decisions are made should be coordinated with Austrian tax and accounting advice.

The GmbH remains a highly recognisable structure, but recognisability alone is not a reason to choose it. Where another Austrian form better suits investment, participation or governance objectives, that comparison should be made before incorporation.
