Company Formation & Corporate Services
Formation of an Andorran SL coordinated around foreign investment, €3,000 share capital, banking, notarial incorporation and the intended operating model.
An Andorran Societat Limitada (SL) can provide an effective base for an owner-managed business, international consultancy, investment activity or operating company with a genuine connection to the Principality. Its attraction is not simply incorporation in a comparatively low-tax European jurisdiction: foreign investment, banking, capital, commercial activity and management need to fit together.
For a foreign founder, the sequence matters. A company incorporated without a credible banking, management or operating plan may be legally registered but commercially difficult to use.
The Government's current formation procedure specifies minimum share capital of €3,000 for an SL. The future shareholder must open an account with an Andorran bank, pay in the initial capital and obtain the bank certificate required for incorporation.
For a non-resident foreign individual or legal entity, foreign direct investment authorisation can also be required before the notarial incorporation. Ownership, the proposed activity and source of investment should therefore be settled before the documents are finalised.
The company is constituted by public deed before an Andorran notary and then registered. The formation file brings together the approved name, corporate object, ownership and beneficial-owner information, KYC, capital evidence and foreign-investment approval where applicable.
The corporate object should describe the genuine intended business without becoming an artificial catalogue of unrelated activities. The same commercial story should support banking, commercial registration and the way the company will actually be managed.
After incorporation, the company may still require commercial or activity registrations, tax and accounting setup, premises or address arrangements, employment registrations and banking facilities. Where a founder intends to relocate, corporate planning should also be coordinated with the relevant immigration route.
Andorra is most persuasive where the owners have a genuine commercial, investment or personal rationale for the Principality. Where management and activity will remain wholly elsewhere, another jurisdiction may be simpler and more defensible.
We begin with the owners, intended activity, markets, management and any relocation objective. We then coordinate the company-name and foreign-investment workstreams, KYC and beneficial-ownership file, banking and capital evidence, notarial incorporation and registration.
After incorporation we identify the commercial-registration, accounting, tax, payroll, immigration and banking steps applicable to the actual business. The objective is not merely to obtain an SL, but to establish an Andorran company that can actually be used for its intended purpose.
Coutts Consultants coordinates the Andorran corporate, foreign-investment, banking, capital and notarial workstreams around the client's intended activity, with specialist matters referred to appropriately qualified advisers where required.
