UAE Holding Companies in 2026

Executive Overview

Commercial Purpose

A UAE holding company can consolidate share ownership, manage investments and provide a group governance platform. The choice must follow the actual commercial function, asset locations, funding and decision-making arrangements—not a promise of automatic tax exemption.

No Automatic Tax Result

A UAE licence or free zone address does not itself produce a 0% corporate tax outcome. Participation exemption and Qualifying Free Zone Person treatment are separate, conditional regimes.

Four Tests Before Incorporation

Identify the holdings and income; select the correct legal form and activity; establish ownership and governance; and document the tax, banking and continuing compliance position.

Coutts View

A structure should be credible to advisers, banks and regulators throughout its life. Incorporation is only the first step.

Structure Selection

Passive versus Active

A shareholding vehicle differs from a headquarters, treasury company, investment manager or operating business. Each may require different permissions, premises, staff and tax analysis.

Group Map

Prepare an ownership chart showing intermediate entities, ultimate beneficial owners, subsidiaries, directors, control rights, proposed dividend flows and intercompany funding.

Legal Form

The available forms and licence activities depend on the relevant mainland or free zone authority. Specialist financial-centre structures are not interchangeable with ordinary commercial licences.

Decision Record

Record why a UAE entity is required, where decisions will be taken and how the group will administer it cost-effectively.

Mainland and Free Zones

Mainland Ownership

The UAE generally permits full foreign ownership of many mainland activities, with exceptions and additional approvals for certain strategic or regulated sectors. Confirm the proposed activity with the relevant authority.

Free Zone Selection

Free zones have their own licensing rules, legal forms, activity lists, premises requirements and renewal costs. A free zone licence does not automatically authorise every activity outside the zone.

Tax Distinction

The free zone corporate tax regime is conditional: qualifying income of a Qualifying Free Zone Person may be taxed at 0%, subject to all applicable conditions.

Selection Criteria

Compare permissions, banking feasibility, governance, audited accounts, annual costs, reporting requirements and the practical location of the business.

Corporate Tax Framework

General Regime

UAE corporate tax includes a 0% rate for taxable income within the applicable threshold and 9% above it for ordinary taxable persons, subject to statutory rules and special regimes. Gross revenue is not the tax base.

Registration

Assess FTA registration obligations and the deadline applicable to the entity. Registration rules and deadlines may change through FTA decisions; do not assume incorporation alone determines the deadline.

Return and Payment

The FTA states that corporate tax returns and payments are generally due within nine months of the tax period end. A 31 December 2025 year-end generally corresponded to a 30 September 2026 deadline.

Cross-Border Position

Foreign withholding tax, permanent establishment, management and control, shareholder tax and controlled foreign company rules may still apply elsewhere.

Participation Exemption

Purpose

The participation exemption may exclude qualifying dividends and gains on shareholdings from corporate tax, reducing multiple taxation of group profits. It does not apply to every holding or disposal.

Core Conditions

The FTA describes a 5% or greater ownership interest held for at least 12 months among the conditions for qualifying participations, with additional statutory tests and exceptions.

Evidence

Maintain acquisition documents, ownership records, holding-period evidence, subsidiary financials, dividend resolutions and advice supporting the treatment.

Avoid Assumptions

Domestic dividends and foreign participation income can follow different rules. Check each income stream and transaction rather than applying one generic exemption.

Qualifying Free Zone Persons

Conditional 0% Treatment

The FTA's guidance states that Qualifying Free Zone Persons may obtain 0% corporate tax on Qualifying Income if all conditions are satisfied. A free zone licence alone is insufficient.

Investment Holding

Holding shares and other securities for investment purposes is identified in the qualifying-activities framework; the specific activity, income, holding period and exclusions matter.

Ongoing Obligations

Relevant conditions can include adequate substance, qualifying income, audited financial statements, transfer pricing compliance and limits on non-qualifying revenue.

2026 Updates

The FTA's legislation register lists Ministerial Decision No. 229 of 2025 on qualifying and excluded activities and FTA Decision No. 6 of 2026 on additional QFZP compliance procedures. Review the current text before claiming eligibility.

Governance and Evidence

Real Management

Identify directors, decision-making powers, board meeting arrangements, signatories and actual oversight. A nominal local address is not a substitute for genuine governance.

Accounts and Audit

Check the accounting and audit requirements of the chosen legal form, licensing authority and tax treatment. Maintain records supporting financial statements and tax filings.

Related-Party Transactions

Intercompany loans, management charges, guarantees and services require contracts and consideration of applicable transfer pricing obligations.

Substance Analysis

Do not confuse legacy economic substance reporting concepts with current corporate tax substance requirements. Assess the applicable regime and financial period specifically.

Ownership and Banking

Beneficial Owners

Prepare a consistent ownership chart through all corporate layers and identify ultimate natural-person controllers. Assess applicable reporting and update obligations.

Bank Onboarding

A licence does not guarantee a bank account. Banks may request group accounts, source of wealth, source of funds, business rationale, expected transaction countries and counterparties.

Funding Flows

Explain initial capital, shareholder loans, dividends and transfers between group companies with documents that reconcile to accounting records.

Operational Requirements

Define currencies, payment corridors, signing authorities and account functionality before choosing a provider category.

Lifecycle Budget

Formation Costs

Allow for licence and registration charges, premises, due diligence, legal drafting, professional advice and any notarisation or translation.

Annual Costs

Budget for licence renewal, premises, bookkeeping, audit where required, tax returns, governance, reporting and banking administration.

No Universal Price

There is no reliable single incorporation price across UAE authorities and company forms. Obtain written itemised quotations distinguishing official charges from professional fees.

Future Changes

Consider shareholder transfers, new subsidiaries, dividend distributions, reorganisation, dissolution and tax deregistration before implementation.

Illustrative Holding Structure

Hypothetical Example

An overseas shareholder proposes a UAE entity to own two foreign operating subsidiaries and receive dividends. This is illustrative, not a client case or recommendation.

Questions for Counsel

Which legal form permits the activities? Are any management or financing services proposed? Where are decisions made?

Questions for Tax Advisers

Would participation exemption apply to each shareholding? Is any free zone tax treatment available? What foreign tax consequences arise?

Questions for Operations

Can the group evidence ownership, funding, contracts and the annual compliance budget? Will a bank support the proposed flows?

Coutts Readiness Review

  1. Commercial Rationale: Is the purpose of the UAE structure documented?
  2. Ownership and Governance: Are shareholders, controllers, directors and authorities mapped?
  3. Tax and Activities: Have tax classifications, participation and free zone conditions been assessed?
  4. Banking and Funding: Are sources of funds and transaction flows documented?
  5. Ongoing Compliance: Are accounts, tax returns, licences and annual costs budgeted?

Coutts Perspective

A structure should be credible to advisers, banks and regulators throughout its life. Incorporation is only the first step. Coutts Consultants may coordinate preliminary jurisdiction and requirements reviews, organise the documentation brief and arrange appropriate professional introductions where available.
