Monaco Company Formation in 2026

Executive Overview

A Permission-Led Jurisdiction

Monaco company formation is not simply a registration transaction. The intended activity, legal form and nationality of participants can determine whether prior authorisation or declaration is required.

Commercial Rationale

The business must explain why it will operate in Monaco, where it will be managed, what premises it requires and how funds and customers will be handled.

Tax is Conditional

The Monaco profits-tax regime applies to specified activities and revenue profiles; it is not correct to describe every Monaco company as exempt from profits tax.

Coutts Approach

Assess formation, permissions, ownership, premises, banking and recurring compliance as one project.

Structure and Legal Forms

SARL

A limited-liability commercial form. Membership, capital, managers and authorisation requirements must be confirmed for the actual case.

SAM

A distinct corporate form with its own establishment, approval and governance procedures; not interchangeable with an SARL.

SNC

Official Monaco guidance states that SNC partners are indefinitely and jointly liable for company debts.

Civil Entities

Non-trading structures require their own analysis and do not automatically authorise commercial business.

Business Authorisation

Foreign Nationals

Official guidance distinguishes authorisation routes for foreign nationals from declarations for eligible Monegasque nationals; sector and entity form matter.

Documents

An application may require identity, background, constitutional, ownership, economic and premises evidence.

Processing

The government describes a three-month legal examination period for the SNC authorisation route from notification of admissibility. Do not generalise this as a guaranteed timeline for all forms.

Permission First

The necessary authorisation or declaration should be resolved before the relevant registration and operating steps.

Registration and Operating Setup

Trade Registry

Complete the applicable Répertoire du Commerce et de l’Industrie (RCI) registration and required constitutional publication or filing.

NIS

Official post-authorisation guidance includes obtaining a statistical identification number (NIS).

Other Formalities

Tax existence declarations and applicable social registrations should be considered for the entity and managers.

Premises

Assess the permitted business address and occupancy arrangements against the actual activity; a mailbox does not establish operating substance.

Profits Tax: Scope and Rate

Foreign Turnover Test

Ordinance 3.152 covers industrial or commercial enterprises where at least 25% of turnover arises from qualifying operations outside Monaco.

25% Normal Rate

Article 21 provides a normal profits-tax rate of 25% from 1 January 2022 for enterprises within the regime.

Different Concepts

The 25% foreign-turnover threshold is a scope test, not the tax rate; the same number does not make them interchangeable.

Cross-Border Rules

Foreign tax residence, permanent establishments, withholding and shareholder obligations may still arise.

Start-Up Relief

Conditional Relief

Ordinance 10.324 describes an initial profits-tax exemption period and phased treatment for certain newly created taxable enterprises.

Not Universal

Relief is subject to statutory conditions and declarations; do not market it as an automatic Monaco tax holiday.

Evidence

Retain accounts, contracts and revenue-by-market records to support the tax position.

Advice

A Monaco-qualified tax adviser should verify eligibility, treatment and filing duties.

Beneficial Ownership

Natural Persons

Government guidance refers to persons with at least 25% direct or indirect capital or voting rights, or control by other means, with fallback rules.

Documentation

Map intermediate companies, controllers, directors and ownership evidence; keep records consistent.

Declarations

The relevant beneficial-owner register filings and changes must be addressed; government notices highlight enforcement.

Civil Companies

Non-trading entities may have additional requirements concerning the person responsible for ownership information.

Banking and Transaction Profile

Separate Approval

Company formation does not oblige a bank to accept the business. Onboarding depends on the institution and its assessment.

Source of Funds

Explain the origin of capital, expected revenues, beneficial owners and source of wealth with supporting records.

Functionality

Define currencies, countries, payment volumes, users and essential features before choosing a provider.

Right to an Account

Monaco publishes a specific statutory right-to-an-account process; this is not a general guarantee of ordinary commercial banking.

RCI Five-Year Declaration

Confirmation Cycle

Official guidance requires registered particulars to be reconfirmed every five years from initial RCI registration.

Official Fees

The government lists EUR 75 for SARL/SNC/SCS/foreign companies and EUR 100 for SAM for the five-year company declaration, plus stated postal charges where relevant.

Not a Total Price

These are selected administrative fees, not a comprehensive formation or annual administration quote.

Compliance Calendar

Track changes to managers, premises, ownership, activities and other registered particulars as well as periodic filings.

Costs and Lifecycle

Initial Costs

Budget for government formalities, professional advice, drafting, premises, translations and due diligence as applicable.

Recurring Costs

Include rent or premises, accounting, tax, administration, personnel, governance and banking.

No Universal Price

Costs depend on form, permissions and operating requirements. Obtain a written itemised quotation.

Exit Planning

Consider share transfers, amendments, closure, banking termination and tax deregistration from the outset.

Illustrative Scenario

Hypothetical

Two overseas founders plan a Monaco services company with clients in Monaco and abroad. This is an example, not a client case.

Permission

Confirm the authorisation route, legal form, background checks and premises requirements.

Tax

Review where services are used and whether the profits-tax foreign-turnover threshold is met.

Banking

Document capital, contracts, expected payments, counterparties and continuing operating costs.

Coutts Readiness Review

  1. Commercial Purpose: Can the Monaco commercial rationale be evidenced?
  2. Permissions: Have legal form and authorisation been reviewed?
  3. Ownership: Are all controllers and ownership documents mapped?
  4. Operations: Are premises and actual management documented?
  5. Tax and Banking: Have tax and account requirements been professionally assessed?
