Malta Company Formation in 2026

Malta Requires a Commercial Rationale

Malta offers an established EU company-law environment. Incorporation does not itself establish banking access, operating substance, tax residence or regulatory permission.

Define activities, ultimate owners, directors, management location, capital, customers, payment routes and the annual compliance budget before proceeding. The standard company income-tax rate is 35%. Imputation, shareholder refunds and elective regimes require case-specific advice.

Align the company, beneficial ownership, governance, financial evidence and banking requirements before registration.

Ten Essential Points

  1. Document why Malta is commercially appropriate.
  2. Appoint the required director and company secretary.
  3. Maintain a Maltese registered office and real governance.
  4. Select the correct share-capital and constitutional structure.
  5. Electronic incorporation starts at EUR 100 in the lowest band.
  6. Budget for annual returns and ownership confirmations.
  7. The ordinary company income-tax rate is 35%.
  8. Tax refunds and elections require specialist assessment.
  9. Banking approval is independent of incorporation.
  10. Budget for the full company lifecycle.

Company Form and Governance

Private Limited Company

A private company limited by shares is common for closely held business. Constitutional documents and share rights must reflect the intended ownership.

Officers

A private company requires at least one director and a company secretary. Record appointments and changes accurately.

Registered Office

Maintain a Maltese registered office. It does not prove that employees or management are physically located there.

Overseas Owners

Foreign ownership requires transparent control and consistent documents through any intermediate entities or trusts.

From Structure to Registration

01 — Define

Record business purpose, activity, owners, directors, secretary, share capital and proposed operating locations.

02 — Prepare

Arrange memorandum and articles, ownership information, identification and capital evidence where required.

03 — Submit

Complete the Registry application, beneficial ownership information and applicable fees through the prescribed process.

04–05 — Establish and Bank

Maintain statutory records, tax and accounting arrangements, and separately prepare banking evidence and transaction forecasts.

Statutory Fees Are Not the Project Price

Electronic Incorporation

The MBR lists EUR 100 for electronic registration where authorised share capital does not exceed EUR 1,500. Higher bands cost more.

Annual Return

The MBR lists EUR 85 for an electronic annual return in the lowest authorised-capital band. Other bands differ.

Capital Versus Fees

Share capital belongs to the company. It is not a professional fee and should not be described as one.

Lifecycle Budget

Include registered office, secretary, accounting, audit where applicable, tax, advice, banking and eventual closure.

Corporate Taxation in 2026

Ordinary Corporate Tax

The Malta Tax and Customs Administration states that Maltese companies are generally subject to 35% corporate income tax.

Imputation and Refunds

Shareholder credits and refunds may apply after distributions under the relevant conditions. Outcomes depend on the facts.

Optional 15% Final Tax

An elective final-tax-without-imputation regime exists for eligible entities, subject to conditions including a minimum election period.

Cross-Border Exposure

Management and control, permanent establishments, withholding, transfer pricing and shareholder tax require separate analysis.

Transparency and the 2026 Reforms

Map the Control Chain

Identify ultimate natural-person owners and controllers through intermediate companies, trusts or nominees.

2026 Changes

Malta amended its beneficial ownership rules in 2026. Confirm whether full or simplified reporting applies.

Annual Confirmation

Annual beneficial ownership confirmation and change notifications may be required under the applicable rules.

Banking Consistency

Ensure the ownership chart, Registry records, identification and source-of-funds explanation are consistent.

Obligations Continue After Formation

Annual Return

MBR guidance requires annual returns to be made up on the incorporation anniversary and filed within 42 days.

Ownership Confirmation

Applicable annual beneficial ownership confirmations follow the relevant Registry requirements.

Accounts and Tax

Maintain records and prepare financial statements, audit and tax submissions as applicable.

Company Changes

Keep directors, secretary, office, shareholders and controllers current, and file changes on time.

Formation Is Not Account Approval

Independent Assessment

Banks and payment institutions review owners, sectors, countries, source of funds and transaction profiles.

Evidence Pack

Prepare Registry documents, ownership charts, identity, contracts or forecasts and expected transaction flows.

Product Suitability

Clarify currencies, transfers, acquiring, authorised users and protection. Bank deposits and e-money differ.

No Guaranteed Result

An intermediary cannot override provider underwriting or compliance decisions.

When Malta May Not Be Suitable

Weak Rationale

A Malta company may create unnecessary cost if management, staff, customers and operations are elsewhere.

Uncertain Tax Outcome

Do not rely on projected refunds, treaty benefits or elections without qualified advice.

Ownership Evidence

Unclear controllers or funding provenance may delay both formation and banking.

Total Lifecycle Cost

Assess administration, accounts, tax, governance and closure, not simply incorporation fees.

Malta Structure Decision Matrix

Six questions that should be resolved before instruction:

  1. Commercial Rationale: Explain why Malta fits the customers, activity and group structure.
  2. Governance: Identify directors, secretary, signatories and management location.
  3. Ownership: Trace natural-person controllers and document initial funding.
  4. Tax Position: Review 35%, imputation, any election and foreign tax exposure.
  5. Banking: Set out currencies, countries, transaction volumes and counterparties.
  6. Annual Cost: Budget filings, accounting, tax, office and administration.

Formation Evidence Checklist

  • Commercial purpose and Malta jurisdiction rationale
  • Proposed company name, articles and share structure
  • Director, secretary and registered office arrangements
  • Shareholders and ultimate beneficial ownership chart
  • Identity and intermediary corporate documentation
  • Initial capital, funding source and transaction forecasts
  • Tax residence, refund/election and licensing assessment
  • Banking currencies, counterparties and account needs
  • Annual filing, accounting, audit and cost calendar
